Section #1

Introduction

These Terms and Conditions ("Terms") govern the use of Cloud Hosting, Web Hosting, and related services provided by Netlia SA ("Netlia", "we", "us", or "our").

By purchasing, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Section #2

Services

Netlia SA provides, but is not limited to, the following services:

  • Shared Web Hosting
  • Cloud Hosting
  • WordPress Hosting
  • Website hosting, storage, and deployment infrastructure
  • Domain registration and DNS management (where applicable)
  • Email hosting services (where included in the selected plan)

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

Section #3

Account Registration

To use our services, you must:

  • Provide accurate, complete, and current information
  • Maintain the confidentiality of your account credentials
  • Accept responsibility for all activities conducted through your account

Netlia SA reserves the right to suspend or terminate accounts containing false, misleading, or incomplete information.

Section #4

Acceptable Use Policy

You agree not to use our services for:

  • Illegal activities or unlawful content
  • Malware distribution, phishing, hacking, or cyberattacks
  • Spam or unsolicited bulk email campaigns
  • Hosting copyrighted content without proper authorization
  • Excessive resource consumption beyond allocated service limits
  • Any activity that may disrupt, damage, or negatively affect our infrastructure or other customers

Violation of this policy may result in immediate suspension or termination of services without prior notice.

Section #5

Resource Usage

All hosting plans are subject to fair usage policies and allocated resource limits.

Netlia SA may temporarily limit, suspend, or terminate services if:

  • Allocated system resources are excessively consumed
  • Other customers or system performance are adversely affected
  • Security threats or vulnerabilities are detected
  • Hosted content violates applicable laws or regulations
  • Illegal, abusive, or prohibited content is identified

Customers may be required to upgrade to a higher-tier plan if resource requirements exceed plan limitations.

Section #6

Payments & Billing

  • Services are billed in advance on a monthly, annual, or other specified billing cycle.
  • All payments are non-refundable except where explicitly stated in our Refund Policy.
  • Failure to pay invoices by the due date may result in service suspension or termination.
  • Netlia SA reserves the right to modify pricing with reasonable prior notice.
Section #7

Service Availability (SLA)

We strive to maintain high service availability; however:

  • We do not guarantee uninterrupted or error-free service.
  • Scheduled maintenance may result in temporary service interruptions.
  • Netlia SA is not responsible for downtime caused by third-party providers, force majeure events, internet outages, or circumstances beyond our reasonable control.

Any uptime commitments, if applicable, will be governed by a separate Service Level Agreement (SLA).

Section #8

Data and Backups

  • Customers are solely responsible for maintaining independent backups of their data.
  • Netlia SA may provide backup services as a convenience; however, backup availability and restoration are not guaranteed.
  • Netlia SA shall not be liable for data loss, corruption, or restoration failures.
Section #9

Security

Netlia SA implements commercially reasonable security measures to protect its infrastructure.

However:

  • Customers are responsible for securing their applications, websites, passwords, and account credentials.
  • Any security breach resulting from customer negligence, weak passwords, insecure software, or misconfiguration remains the customer's responsibility.
Section #10

Suspension and Termination

Netlia SA may suspend or terminate services if:

  • These Terms are violated
  • Payment obligations remain outstanding
  • Fraudulent, illegal, harmful, or abusive activities are detected
  • Service usage poses a threat to infrastructure stability or security

Following termination, data may be permanently deleted in accordance with our internal data retention policies.

Section #11

Domain Names

Where domain-related services are provided:

  • Domain registrations are subject to the policies and regulations of the applicable registry and registrar.
  • Customers are responsible for ensuring timely renewal of domains.
  • Netlia SA is not responsible for domain expiration, suspension, transfer restrictions, or loss resulting from non-renewal or inaccurate registration information.
Section #12

Limitation of Liability

To the fullest extent permitted by law, Netlia SA shall not be liable for:

  • Data loss
  • Loss of revenue, profits, or business opportunities
  • Business interruption
  • Indirect, incidental, special, punitive, or consequential damages
  • Failures caused by third-party providers or external services

In all cases, Netlia SA's total aggregate liability shall not exceed the amount paid by the customer for the affected service during the previous billing period.

Section #13

Indemnification

You agree to defend, indemnify, and hold harmless Netlia SA, its directors, employees, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use of the services
  • Violation of these Terms
  • Violation of applicable laws or regulations
  • Infringement of third-party rights

Changes to These Terms

Netlia SA reserves the right to modify these Terms at any time.

Updated versions will become effective upon publication on our website. Continued use of services after such publication constitutes acceptance of the revised Terms.

Section #15

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Poland, and Sweden.

Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Poland, unless otherwise required by applicable law.
